2. Eligibility

You must be legally permitted to use the Service under the laws applicable to you.

If you use the Service on behalf of a business, organization, or other entity, you represent that you have the authority to accept these Terms on its behalf.

3. Account Registration

You agree to provide accurate and current information when creating your account.

You retain ownership of your User Content.

By submitting User Content to the Service, you grant us the limited rights necessary to store, process, transmit, modify, and display that content solely for the purpose of providing the requested Service functionality.

You are responsible for ensuring that you have all necessary rights, permissions, licenses, and authorizations for any User Content you upload or submit.

5. AI-Generated Content

The Service uses artificial intelligence technologies to generate text, images, videos, and other content.

AI-generated content is produced based on information and instructions provided by you and may not always be accurate, complete, original, or suitable for your intended purpose.

AI-generated content may contain:

  • Errors
  • Inaccuracies
  • Unexpected results
  • Similarities to existing content
  • Incorrect or outdated information

You are responsible for reviewing and approving AI-generated content before publishing, distributing, or relying on it.

We do not guarantee that AI-generated content will be suitable for a specific business, marketing, legal, financial, professional, or other purpose.

6. Third-Party AI Services

To provide AI functionality, the Service may use third-party AI providers, including OpenAI and other technology providers.

Depending on the feature you use, information submitted to AI services may include:

  • Brand guidelines
  • Brand voice information
  • Images
  • Reference content
  • Other information required to provide the requested AI functionality

You are responsible for ensuring that you have the necessary rights and permissions to submit any content to AI services through the Service.

7. Social Media Integrations

The Service may allow you to connect supported social media accounts, including Instagram, Facebook, and LinkedIn accounts.

When you connect a social media account, you authorize the Service to use the permissions necessary to provide the functionality you request.

This may include creating, scheduling, managing, or publishing content.

You are responsible for:

  • Maintaining valid access to your social media accounts
  • Reviewing connected account permissions
  • Following the applicable social media platform's terms
  • Following applicable laws and regulations
  • Ensuring that your content complies with platform policies

Social media platforms are independent third-party services. We do not control their APIs, policies, availability, restrictions, or changes.

8. Scheduling and Publishing

The Service may allow you to schedule content for future publication on supported social media platforms.

You are responsible for reviewing scheduled content and ensuring that:

  • You have the right to publish the content
  • The content complies with applicable laws
  • The content complies with platform policies
  • The content is appropriate for the intended audience

We do not guarantee that scheduled content will always be published successfully.

Publishing may fail because of:

  • Expired or invalid social media authorization
  • API restrictions
  • Platform changes
  • Rate limits
  • Network failures
  • Third-party service interruptions
  • Technical issues
  • Other circumstances outside our reasonable control

9. Subscriptions and Payments

The Service may offer optional paid subscription plans that provide access to additional features and higher usage limits.

Available subscription plans may include:

  • Social Planner Starter Monthly
  • Social Planner Starter Yearly
  • Social Planner Business Monthly
  • Social Planner Business Yearly

For iOS users, subscriptions are purchased through Apple's In-App Purchase system.

Subscription pricing, duration, renewal information, and available features are displayed before purchase.

Subscriptions automatically renew unless cancelled through the user's Apple Account subscription settings before the applicable renewal period.

Payment processing, subscription billing, renewal, cancellation, and refunds are subject to Apple's applicable terms and policies for purchases made through Apple.

10. Free Plan and Usage Limits

The Service may provide a free plan with limited access to certain features.

Free and paid plans may have limits relating to:

  • AI credits
  • AI captions
  • AI post and image generation
  • AI video generation
  • Scheduled posts
  • Connected social accounts
  • Brands
  • Team members
  • Other features

Usage limits and plan features may change from time to time, subject to applicable law and the terms applicable to your subscription.

11. AI Credits and Usage

The Service may use an AI credit system to manage certain AI-powered functionality.

The number of credits available to a user and the features that consume credits may depend on the user's plan.

AI generation may become unavailable when applicable usage limits or credits have been exhausted.

Credits generally do not represent cash, stored monetary value, or a transferable financial asset.

Credits cannot be sold, transferred, exchanged, or redeemed for cash unless expressly stated by us.

12. Intellectual Property

The Service, including its software, interface, design, branding, logos, trademarks, features, and underlying technology, is owned by or licensed to Equitysoft Technologies Pvt. Ltd.

Except for the rights expressly granted to you under these Terms, no ownership or other intellectual property rights are transferred to you.

You may not:

  • Reproduce or redistribute the Service
  • Reverse engineer or decompile the Service
  • Attempt to obtain source code
  • Create unauthorized derivative works
  • Remove proprietary notices

13. User Responsibilities

  • Interfere with the operation of the Service

We may restrict or terminate access where reasonably necessary to protect the Service, users, third parties, or our legal rights.

14. Third-Party Services

  • Cloud infrastructure providers

Third-party services are outside our control.

We do not guarantee the availability, accuracy, security, or continued operation of third-party services.

Changes or interruptions to third-party services may affect the availability of related features.

Your use of third-party services may also be governed by their own terms and privacy policies.

15. Service Availability

We make reasonable efforts to keep the Service available and functional.

However, we do not guarantee that the Service will always be:

  • Compatible with every device
  • Free from delays or technical problems

18. Account Suspension and Termination

We may suspend or terminate an account if:

You may stop using the Service at any time.

If you have an active subscription purchased through Apple, deleting your account does not automatically cancel the subscription. You must manage the subscription through your Apple Account subscription settings.

19. Account and Data Deletion

You may request deletion of your account and associated information.

Account deletion may result in the deletion of information associated with your account, including saved drafts, brand information, generated content, and connected account information, subject to applicable legal, security, fraud prevention, dispute resolution, and compliance requirements.

Content that has already been published to third-party social media platforms may remain on those platforms and must be managed directly through the relevant platform.

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.

We do not guarantee that:

  • The Service will always meet your requirements
  • AI-generated content will always be accurate
  • Generated content will always be original
  • Scheduled content will always be published successfully
  • Third-party integrations will always remain available
  • The Service will be uninterrupted or error-free
  • The Service will produce a particular business or marketing result

Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable law.

21. Limitation of Liability

To the maximum extent permitted by applicable law, Equitysoft Technologies Pvt. Ltd. will not be responsible for indirect, incidental, special, consequential, or similar damages arising from your use of or inability to use the Service.

This may include losses or damages resulting from:

  • AI-generated content
  • Incorrect or incomplete AI results
  • Failed social media publishing
  • Social media platform changes
  • Third-party API failures
  • Loss or unavailability of content
  • Service interruptions
  • Business or marketing decisions based on the Service
  • Loss of revenue, sales, engagement, or business opportunities

Nothing in these Terms limits liability that cannot legally be excluded under applicable law.

22. Changes to These Terms

We may update these Terms from time to time.

When changes are made, we will update the "Last Updated" date above.

Where appropriate, we may provide additional notice of material changes.

Your continued use of the Service after updated Terms become effective means that you accept the updated Terms, to the extent permitted by applicable law.

23. Governing Law

These Terms will be governed by the laws of India, without regard to conflict-of-law principles, unless applicable law requires otherwise.

Any disputes will be handled by the courts or dispute-resolution mechanisms having appropriate jurisdiction over the matter.
