Social Media Planner Scheduler
This End User License Agreement ("EULA") is an agreement between you ("User", "you", or "your") and Equitysoft Technologies Pvt. Ltd. ("Company", "we", "us", or "our") regarding your use of the Social Media Planner Scheduler mobile application and related services (collectively, the "Service").
By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree with this EULA, please do not use the Service.
1. About the Service
Social Media Planner Scheduler is an AI-powered social media content planning and management application designed to help users create, edit, organize, schedule, and publish social media content.
The Service may provide features including:
- AI-powered text and caption generation
- AI image generation
- AI video generation
- Brand voice and brand guideline management
- Content planning and content calendar features
- Social media post creation and editing
- Reference-based content creation
- Draft management
- Social media scheduling and publishing
- Social media account connections
- Content ideas and hashtag suggestions
- Dashboard and basic analytics
- Other features that may be introduced or updated from time to time
2. Eligibility
You must be legally permitted to use the Service under the laws applicable to you.
If you are using the Service on behalf of a business, organization, or other entity, you represent that you have the authority to accept this EULA on its behalf.
3. License Grant
Subject to your compliance with this EULA, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, access, and use the Service for your personal or legitimate business purposes.
This license does not transfer ownership of the Service or any intellectual property rights to you.
You may not:
- Copy, reproduce, or redistribute the Service except as permitted by applicable law
- Modify, adapt, translate, or create derivative works of the Service
- Reverse engineer, decompile, disassemble, or attempt to obtain the source code of the Service
- Remove copyright, trademark, or other proprietary notices
- Rent, lease, sell, sublicense, or commercially distribute the Service itself
- Use the Service to develop a substantially similar competing product through unauthorized copying or extraction
4. User Account
Certain features require you to create an account using your email address and password.
You are responsible for:
- Providing accurate information
- Maintaining the confidentiality of your login credentials
- Keeping your account secure
- All activity performed through your account
You must notify us if you believe your account has been accessed without authorization.
Account creation itself does not require payment. The Service may provide a free plan with limited usage and optional paid subscription plans.
5. User Content
You may provide or upload content through the Service, including:
- Text
- Prompts
- Brand information
- Brand guidelines
- Brand voice information
- Images
- Reference media
- Social media content
- Draft posts
- Other materials you choose to provide
You retain ownership of your User Content, subject to any rights that may belong to third parties.
You are responsible for ensuring that you have all necessary rights, permissions, and licenses to upload, process, modify, publish, or otherwise use any User Content submitted through the Service.
6. AI-Generated Content
The Service uses third-party artificial intelligence technologies to provide features such as text, image, and video generation.
AI-generated content may be produced based on information, instructions, prompts, brand information, reference materials, or other content provided by you.
AI-generated content may contain errors, inaccuracies, unexpected results, or content that does not fully match your expectations.
We do not guarantee that AI-generated content will always be:
- Accurate
- Original
- Complete
- Suitable for a particular purpose
- Free from errors
- Free from similarities to existing content
You are responsible for reviewing AI-generated content before using, publishing, or distributing it.
7. Third-Party AI Services
To provide AI functionality, the Service may transmit certain User Content or information to third-party AI service providers.
Depending on the feature used, information may include prompts, text, brand information, images, reference content, or other materials required to provide the requested AI functionality.
Third-party AI services may include providers such as OpenAI and other technology providers used by the Service.
Your use of AI features is subject to the applicable terms and policies of the relevant third-party providers where applicable.

8. Social Media Integrations
The Service may allow you to connect supported social media accounts, including supported Instagram, Facebook, and LinkedIn accounts.
By connecting a social media account, you authorize the Service to access and use the permissions necessary to provide the selected functionality, such as creating, scheduling, or publishing content.
You are responsible for:
- Maintaining valid access to your connected social media account
- Complying with the applicable platform's terms and policies
- Ensuring that your content complies with applicable laws and platform rules
- Reviewing permissions granted to the Service
Social media platforms are independent third-party services. We do not control their availability, policies, APIs, restrictions, or changes.
A change, restriction, suspension, or discontinuation by a third-party platform may affect related Service functionality.
9. Content Scheduling and Publishing
The Service may allow you to schedule content for future publication on supported social media platforms.
You are responsible for reviewing scheduled content before publication and ensuring that:
- The content is accurate
- You have the necessary rights to publish the content
- The content complies with applicable laws
- The content complies with the relevant social media platform's policies
We do not guarantee that scheduled content will always be published successfully.
Publishing may fail because of circumstances including:
- Social media API changes
- Expired or invalid authorization
- Platform restrictions
- Rate limits
- Network failures
- Third-party service interruptions
- Technical errors
10. Subscriptions and In-App Purchases
The Service may offer optional auto-renewable subscription plans that provide access to additional features, higher usage limits, and other premium functionality.
Available subscription plans may include:
- Social Planner Starter Monthly
- Social Planner Starter Yearly
- Social Planner Business Monthly
- Social Planner Business Yearly
Subscriptions are purchased through Apple's In-App Purchase system on iOS.
The applicable subscription price, duration, renewal terms, and available features are displayed to you before purchase.
Your subscription automatically renews unless you cancel it through your Apple Account subscription settings before the applicable renewal period.
Payment processing, billing, subscription renewal, cancellation, and refunds are handled according to Apple's applicable terms and policies.
We do not directly process payments for subscriptions purchased through Apple's In-App Purchase system.
11. Free Plan and Usage Limits
The Service may provide a free plan with limited access to certain features and AI usage.
Free and paid plans may have limits on AI generations, content creation, video generation, scheduled posts, connected accounts, brands, or other functionality.
We may modify plan limits, features, or availability from time to time, subject to applicable law and Apple's requirements.
12. Intellectual Property
The Service, including its software, design, interface, branding, logos, trademarks, features, and underlying technology, is owned by or licensed to Equitysoft Technologies Pvt. Ltd. and is protected by applicable intellectual property laws.
Except for the limited license granted under this EULA, no rights are granted to you in relation to the Service or its intellectual property.
You retain ownership of your User Content, subject to third-party rights and the licenses necessary for us to provide the Service.
13. Prohibited Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe another person's intellectual property or privacy rights
- Upload content you do not have permission to use
- Create or distribute unlawful, fraudulent, deceptive, or harmful content
- Abuse or interfere with third-party social media platforms
- Attempt to bypass Service restrictions or usage limits
- Circumvent subscription or payment controls
- Attempt unauthorized access to the Service or its systems
- Introduce malware, viruses, or other harmful code
- Abuse AI-generation functionality
- Use the Service for activities that violate applicable third-party platform policies
We may restrict or terminate access if we reasonably believe the Service is being misused.
14. Third-Party Services
The Service may depend on third-party services, APIs, platforms, hosting providers, AI providers, payment systems, and other technologies.
These third-party services are outside our control.
We are not responsible for interruptions, changes, errors, limitations, or discontinuation of third-party services.
Your use of third-party services may also be subject to their own terms, privacy policies, and rules.
15. Service Availability
We aim to keep the Service available and functional, but we do not guarantee that it will always be uninterrupted, secure, or error-free.
The Service may occasionally be unavailable because of:
- Maintenance
- Software updates
- Server issues
- Network problems
- Security incidents
- Third-party service failures
- API changes
- Circumstances beyond our reasonable control
We may modify, suspend, or discontinue features of the Service where reasonably necessary.
16. AI and Content Disclaimer
The Service is an AI-assisted content creation and social media management tool.
AI-generated content should not be treated as guaranteed factual, professional, legal, financial, marketing, or other expert advice.
You are responsible for reviewing and verifying content before publishing or relying on it.
We do not guarantee that AI-generated content will achieve any particular engagement, marketing, sales, audience-growth, or business result.
17. Account Suspension and Termination
We may suspend or terminate your account or access to the Service if:
- You violate this EULA
- You misuse the Service
- You engage in fraudulent or unlawful activity
- Your actions create a security or legal risk
- You upload prohibited or harmful content
- You attempt to circumvent subscription or usage restrictions
- We are required to do so by law
Where appropriate and reasonably possible, we may provide notice before taking such action.
You may stop using the Service at any time.
Termination of your account does not automatically cancel an Apple subscription. Subscription cancellation must be managed through your Apple Account subscription settings.
18. Account and Data Deletion
You may request deletion of your account and associated information where an account is provided.
You may also request deletion of User Content and other information associated with your account, subject to applicable legal, security, fraud prevention, dispute resolution, and compliance requirements.
Information about account deletion and data handling is provided in our Privacy Policy and applicable account deletion process.
Content already published to third-party social media platforms may remain available on those platforms and must be managed directly through the relevant platform.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Equitysoft Technologies Pvt. Ltd. will not be responsible for indirect, incidental, special, consequential, or similar damages arising from your use of or inability to use the Service.
This may include losses or damages resulting from:
- AI-generated content
- Incorrect or incomplete AI results
- Failed or delayed social media publishing
- Social media platform changes
- Third-party API failures
- Loss or unavailability of stored content
- Service interruptions
- Unauthorized access resulting from circumstances outside our reasonable control
- Business, marketing, revenue, or engagement decisions based on the Service
Nothing in this EULA limits liability that cannot legally be excluded under applicable law.
20. Changes to This EULA
We may update this EULA from time to time.
When we make changes, we will update the "Last Updated" date above.
Your continued use of the Service after updated terms become effective means that you accept the updated EULA, to the extent permitted by applicable law.
21. Governing Law
This EULA will be governed by the laws of India, without regard to conflict-of-law principles, unless applicable law requires otherwise.
Any disputes will be handled by the courts or dispute-resolution mechanisms having appropriate jurisdiction over the matter.
